Senior representatives from the two networks met Motorola staff at its US headquarters last week to discuss the global review.
It is understood MindShare has now entered exclusive negotiations with Motorola to handle the European brief. Universal McCann, which was earlier knocked out, handled the UK business.
Motorola has also handed its Asia-Pacific business to the WPP network.
The US part of the business stays with Carat after moving from Universal McCann earlier this year.
Motorola called the pitch in order to reduce its agency roster from nine to two. It reduced the longlist, which included Starcom Mediavest, Universal McCann and Initiative, to just MindShare and Carat.
No-one at Motorola would comment on the account, but a decision is expected soon.
